Service agreement.

Overview

This Service Agreement ("Agreement") governs the provision of digital marketing services by Hero Digital Marketing Agency ("Agency") to the client ("Client"). By engaging our services, you agree to the terms outlined herein.

Scope of Services

The specific services to be provided will be detailed in a separate Statement of Work (SOW) or proposal agreed upon by both parties. Services may include SEO, PPC management, social media marketing, web design, content creation, and related consulting.

Client Obligations

The Client agrees to:

• Provide timely access to necessary accounts, assets, and information
• Review and approve deliverables within agreed timeframes
• Designate a primary point of contact for communication
• Ensure all provided materials do not infringe third-party rights
• Maintain accurate billing and contact information

Agency Obligations

The Agency agrees to:

• Perform services in a professional and workmanlike manner
• Assign qualified personnel to the Client account
• Provide regular reporting and communication as specified in the SOW
• Maintain confidentiality of Client business information
• Comply with applicable laws and industry standards

Fees & Payment

Fees are as specified in the applicable SOW or proposal. Payment terms are net 15 days from invoice date unless otherwise agreed. Late payments may incur a service charge of 1.5% per month on the outstanding balance.

Term & Termination

This Agreement begins on the date of acceptance and continues for the term specified in the SOW. Either party may terminate with 30 days written notice. Upon termination, Client is responsible for all fees incurred up to the effective termination date.

Limitation of Liability

The Agency's total liability under this Agreement shall not exceed the total amount paid by Client to Agency in the three months preceding the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.

Intellectual Property

Upon full payment, the Client receives a license to use deliverables created specifically for them. Pre-existing Agency materials, methodologies, and tools remain the property of the Agency.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement and for a period of three years thereafter.
