Agreement to Terms

By accessing, browsing, or using any website, service, or deliverable provided by Hero Digital Marketing Agency ("Hero Digital Marketing Agency," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to all of these terms, you may not use our services or access any of our digital properties.

Services

Hero Digital Marketing Agency provides managed digital marketing services, including but not limited to:

• Search Engine Optimization (SEO) and local search optimization
• Pay-Per-Click (PPC) advertising management
• Social media marketing and content creation
• Website design, development, hosting, and maintenance
• Email marketing and SMS marketing campaigns
• AI-powered marketing automation, chatbots, and voice agents
• Conversion rate optimization (CRO) and funnel building
• Lead generation, reputation management, and review generation
• Analytics, reporting, and marketing strategy consulting

Specific deliverables, timelines, and performance expectations are set forth in the service agreement, statement of work, or proposal signed by both parties.

Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information about your business
• Respond to requests for approvals, credentials, content, or feedback promptly
• Comply with all applicable federal, state, and local laws and regulations
• Maintain the confidentiality of your account credentials and access tokens
• Make payments in accordance with the agreed-upon schedule
• Grant necessary access to advertising accounts, websites, analytics tools, and platforms
• Not use any deliverable in a way that violates platform policies or intellectual property rights

Payment Terms

Payment terms are outlined in your specific service agreement. Unless otherwise agreed in writing, standard terms include:

• Monthly retainer fees, project-based fees, or setup fees as quoted
• Payment due upon receipt of invoice or according to the agreed schedule
• Late payments may incur additional fees or suspension of work
• Services may be paused or terminated for non-payment
• All fees are non-refundable unless explicitly stated otherwise

Intellectual Property

All materials, code, creative assets, strategies, and systems created by Hero Digital Marketing Agency remain the intellectual property of Hero Digital Marketing Agency until full payment is received. Upon full payment and completion of the project, ownership of the agreed-upon deliverables transfers to the client as specified in the service agreement. We retain the right to use general knowledge, methodologies, and non-confidential techniques learned during the engagement.

Limitation of Liability

Hero Digital Marketing Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services, including but not limited to lost profits, lost revenue, lost data, or business interruption. Our total liability shall not exceed the total amount paid by the client for services in the three (3) months preceding the claim.

Results Disclaimer

While we strive to deliver excellent results, digital marketing outcomes depend on many factors outside of our control, including market conditions, platform algorithms, competition, and client participation. We do not guarantee specific results such as exact search engine rankings, traffic volumes, conversion rates, revenue amounts, or social media engagement levels. Any case studies, testimonials, or examples shown are for illustrative purposes and may not reflect typical results.

Termination

Either party may terminate services with written notice as specified in the service agreement. Typical notice periods are thirty (30) days. Outstanding invoices remain due upon termination. Upon termination, access to any hosted tools, dashboards, or accounts managed by Hero Digital Marketing Agency may be suspended or transferred according to the service agreement.

Confidentiality

We will maintain the confidentiality of your business information, customer data, and proprietary materials and will not disclose them to third parties except as necessary to provide services or as required by law. Both parties agree to protect any confidential information shared during the engagement for a period of five (5) years after termination.

Modifications

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the revised terms. Material changes to pricing, service scope, or liability will be communicated directly to active clients.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under these terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
